Company Secretary
All companies are required, by Companies Act 1985 section 283, to have a Company Secretary.
The main duties of the Company Secretary are:
- Complete and submit all relevant forms to Companies House, including the annual return
- Maintain the company's statutory registers
- Call, and produce minutes of, company meetings
For many companies, especially the smaller company, a director fills the role of Company Secretary... another duty on top of all the other duties! And for very small (for example "one-man") companies, a friend or family member is often appointed, frequently without an understanding of their statutory obligations.
The alternative is to appoint an independent Company Secretary to fulfil those obligations!
